1. Agreement to Terms

1.1. These Terms of Use (“Terms”) govern your access to and use of websites, portals, applications, dashboards, APIs, documentation, and other online services operated by Stability Solutions, Inc. (“Stability”, “we”, “our”, “us”) that link to these Terms (collectively, the “Services”).

1.2. By accessing, using, or submitting any data to Stability and/or through the Services, you acknowledge that you are of contracting age in your jurisdiction and have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1.3. These Terms incorporate by reference the following additional documents (collectively, the “Supplemental Terms”):

  1. the Stability Privacy Statement;
  2. the Stability Cookie Policy; and
  3. any notices, guidelines, or policies published or otherwise made available by Stability.

1.4. Certain Stability products or features may be governed by additional service-specific terms (“Service-Specific Terms”). If you use a Stability product that has Service-Specific Terms, those Service-Specific Terms apply in addition to these Terms and shall prevail in the event of a conflict.

2. Eligibility and User Accounts

2.1. By accessing, using, or submitting any data through the Services, you acknowledge that you are of contracting age in your jurisdiction and have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

2.2. To access certain features, including developer APIs or dashboards, you may be required to create an account. You must provide accurate and complete information during account registration and keep your account information updated.

2.3. You are responsible for maintaining the confidentiality of your login credentials. You must promptly notify Stability of any suspected unauthorised use of your account.

2.4. Stability may suspend or terminate your account at its discretion if you violate these Terms or if required to comply with applicable laws.

3. Prohibited Conduct

3.1. In using the Services, you agree not to whether directly, indirectly, deliberately, negligently, or through automated means, engage in any conduct that:

  1. in any manner violates these Terms, any Supplemental Terms, applicable laws, or regulations;
  2. infringes the rights of any person or entity, including intellectual property or privacy rights;
  3. interferes with or disrupts the operation of the Services or attempts to circumvent any security features;
  4. interferes with or disrupts the integrity or performance of the Services; or
  5. engages in abusive, fraudulent, or deceptive activities.

3.2. Stability may investigate any suspected violation of this Section 3 and may take any action it deems appropriate at its sole and unfettered discretion, including suspension or termination of access.

4. Intellectual Property

4.1. Stability and its licensors own all rights, title, and interest in and to the Services, including all software, interfaces, designs, text, graphics, documentation, and other content, except for User Content defined below.

4.2. Nothing in these Terms grants you any rights to Stability’s trademarks, trade names, logos, branding, or proprietary identifiers, except with Stability’s prior written consent.

4.3. You may access and use materials made available through the Services solely for their intended purpose and subject to any licence terms applicable to those materials.

5. User Content

5.1. “User Content” means any data, text, files, materials, feedback, or other content (which may include personal data) that you submit to or through the Services, excluding content submitted to products governed by their own Service-Specific Terms.

5.2. You represent and warrant that:

  1. you have all rights necessary to submit User Content;
  2. User Content does not violate applicable law, including data protection privacy laws, or infringe any third-party rights; and
  3. User Content does not contain harmful or malicious code.

5.3. You grant Stability a non-exclusive, worldwide, royalty-free licence to use, store, reproduce, display, and distribute User Content solely as necessary to operate, maintain, and improve the Services, or as otherwise required by law.

5.4. Stability does not claim ownership over User Content. You remain responsible for User Content submitted through your account.

6. Third-Party Services

6.1. The Services may contain links or integrations to third-party websites, applications, or services (“Third-Party Services”). Stability does not endorse or control Third-Party Services and is not responsible for their content, availability, practices, security, or terms of their use.

6.2. Your use of Third-Party Services is governed by the terms and privacy practices of the relevant third party.

7. Modifications to the Services

7.1. Stability may at its sole and unfettered discretion modify, update, suspend, or discontinue any part of the Services at any time, with or without notice.

7.2. Stability shall not be liable whatsoever on account of any change, modification, suspension, or discontinuation of the Services, or any suspension or termination of your access to or use of the Service.

8. Disclaimers

8.1. The Services are provided strictly on an “AS IS”, “AS AVAILABLE”, and “WITH ALL FAULTS” basis. 

8.2. Stability disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.

8.3. Stability does not guarantee that the Services will be uninterrupted, error-free, secure, or free from harmful components.

8.4. To the extent the Services provide access to information or materials from third parties, Stability does not guarantee the accuracy or completeness of such information.

9. Limitation of Liability

9.1. To the fullest extent permitted by law, Stability shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages, including loss of data, profits, revenue, business, goodwill, opportunity, or anticipated savings, arising out of or relating to the Services, User Content submitted to or through the Services, or your breach of these Terms.

9.2. Notwithstanding the foregoing, if Stability is found liable in any manner arising out of or connected with the Services or these Terms, Stability’s aggregate liability to you shall not exceed USD $50, regardless of the number of claims or events.

9.3. The limitations in this Section are essential elements of the basis of the bargain and the Services would not be provided without these limitations.

10. Indemnities

You agree to indemnify, defend, and hold harmless Stability, its affiliates, subsidiaries, directors, officers, employees, contractors, agents, licensors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  1. your use of the Services;
  2. your User Content; and/or
  3. your breach of these Terms
11. Changes to These Terms

Stability may update these Terms from time to time. Updates shall become effective upon posting the revised Terms on an official Stability website or notifying Users by email or other reasonable means. By continuing to access or use the Services after the effective date of updated Terms, you agree to be bound by the revised Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed exclusively by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute, claim, or proceeding arising from, relating to, or in connection with these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware, and you irrevocably submit to the jurisdiction of such courts and waive any and all objections on grounds of lack of personal jurisdiction; improper venue; and/or forum non conveniens.

13. Termination

13.1. You may stop using the Services at any time.

13.2. Stability may suspend or terminate your access to the Services at any time if you violate these Terms; fail to comply with applicable law; or if your continued access would create risk or liability for Stability.

14. Miscellaneous

14.1. These Terms constitute the entire agreement between you and Stability regarding the Services.

14.2. If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

14.3. Stability’s failure to enforce any provision is not a waiver of its rights.

14.4. You may not assign these Terms without Stability’s prior written consent. Stability may assign these Terms to an affiliate or successor without restriction.

14.5. Upon termination, Sections 4, 5, 8, 9, 10, 12, 14 and any other provisions that by their nature should survive, shall remain in effect.
